Terms & Conditions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client” or “you”) and Greenridge AI LLC (“Greenridge AI,” “we,” “our,” or “us”), a Utah limited liability company owned and operated by Parker Holyoak, with a principal place of business in Riverton, Utah.

By engaging our services, signing a service agreement, or making a payment, you agree to be bound by these Terms. If you do not agree, do not engage our services.

Greenridge AI provides AI-powered voice agent and automation services for local home service businesses, including but not limited to:

• AI voice agent systems that answer missed calls, qualify leads, and book appointments automatically
• AI-driven lead response and qualification workflows
• Integration with third-party platforms (e.g., CRM, scheduling tools)
• Live demonstrations of our voice agent systems during scheduled calls
• Ongoing support and system maintenance as described in your service agreement

The specific scope of services, deliverables, and timelines for each client are defined in a separate written service agreement or proposal. In the event of a conflict between these Terms and a signed service agreement, the service agreement controls.

Fees for Greenridge AI services are set forth in your service agreement or proposal. Unless otherwise specified in writing:

• Setup fees are due prior to the start of buildout and are non-refundable once work has commenced.
• Monthly retainer fees are billed at the start of each billing cycle and are due within 5 days of the invoice date.
• Late payments may result in suspension of services. Accounts more than 30 days past due are subject to a late fee of 1.5% per month on the unpaid balance, or the maximum rate permitted by Utah law, whichever is less.
• All fees are stated in U.S. dollars. Greenridge AI reserves the right to adjust pricing with 30 days' written notice.

Refund policy: Setup fees are non-refundable once work has begun. Monthly retainer fees are non-refundable for the current billing period but you may cancel future billing by providing written notice before the next billing cycle begins.

Greenridge AI provides automation tools and systems designed to improve lead response and follow-up efficiency. We make no guarantee of specific business outcomes, revenue growth, lead conversion rates, or return on investment.

Results depend on numerous factors outside our control, including your industry, market conditions, the quality of your existing leads, your sales process, and how you use our systems. Any case studies, examples, or projections shared during the sales process are illustrative only and are not a promise of similar results for your business.

To the fullest extent permitted by applicable law, Greenridge AI's total liability to you for any claim arising out of or related to these Terms or our services — whether in contract, tort, strict liability, or otherwise — shall not exceed the total fees paid by you to Greenridge AI in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Greenridge AI be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations on liability. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

You agree to:

• Provide accurate business information necessary for us to deliver our services
• Ensure that your call forwarding is configured as directed so the AI voice agent can answer calls on your behalf
• Comply with all applicable laws governing your use of the voice agent system we build for you
• Not use Greenridge AI systems to harass individuals or violate any applicable law

Greenridge AI does not access, review, or retain your customers' data once your system is live.

This program is operated by Greenridge AI LLC.

Greenridge AI's primary service is an AI voice agent that answers calls on behalf of your business. As a secondary layer, follow-up SMS messages may be sent to callers after a call is handled by the voice agent. As part of our sales and demonstration process, we may also send SMS messages to prospective clients.

All communications — voice and SMS — are sent only after explicit consent is obtained. Consent is provided verbally during a live call or via the written consent checkbox on our website contact form.

• Message types: Transactional and operational communications only. Includes appointment confirmations, follow-up after a voice call, consultation scheduling, and live demonstrations of our voice agent platform.
• Message frequency: Frequency varies based on your inquiry and engagement.
• Rates: Message and data rates may apply. Contact your wireless carrier for details.
• Opt-out: Reply STOP at any time to stop all SMS messages. You will receive one confirmation and no further messages will be sent.
• Help: Reply HELP for assistance, or contact us at parker@greenridgeai.com.
• Data sharing: We do not sell, share, or transfer your opt-in data or consent records to third parties or affiliates for marketing purposes.

Greenridge AI retains ownership of all underlying systems, templates, code, workflows, and intellectual property used to deliver our services. Upon full payment, you receive a non-exclusive license to use the automation system we build for you within your business, as specified in your service agreement.

You may not resell, sublicense, or transfer the system to a third party without our prior written consent.

Either party may terminate the services engagement with 30 days' written notice. Greenridge AI may terminate immediately if you breach these Terms, fail to make timely payment, or use our systems in violation of applicable law.

Upon termination, your access to Greenridge AI's managed infrastructure will be discontinued. Any client data stored in your own dedicated data environment remains under your control and is not affected by termination.

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah for any dispute arising out of these Terms.

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute informally. Either party may initiate this process by sending written notice of the dispute to the other party. The parties will then have 30 days to negotiate in good faith toward a resolution.

If the dispute is not resolved within 30 days, either party may pursue their available legal remedies in the courts described in Section 10. Nothing in this section prevents either party from seeking emergency injunctive relief where necessary to prevent irreparable harm.

• Entire agreement: These Terms, together with your signed service agreement, constitute the entire agreement between you and Greenridge AI regarding our services and supersede all prior discussions and agreements.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Changes: We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of our services after an update constitutes acceptance of the revised Terms.
